Charter of the « Against Stones » Association
Charter of a public association (громадське об'єднання) under Ukrainian law

This Charter sets out the rules for the operation, governance and member participation of the « Against Stones » association — a living museum platform, creative workshops and an affinity network among participants.
1. General provisions
1.1. The public association « Against Stones » (ГО « Against Stones ») is established under the Constitution of Ukraine, the Civil Code of Ukraine and the Law of Ukraine « On Public Associations ».
1.2. The association is a voluntary, self-governing, independent, non-profit union of individuals formed to pursue non-commercial activities.
1.3. Location: Ukraine, Kyiv. Legal address: [● — to be stated upon state registration].
1.4. Legal entity status arises upon state registration. EDRPOU code: [● — assigned after registration].
1.5. The association may have a seal, symbols, bank accounts in Ukraine and other attributes provided by law.
1.6. Official Ukrainian name: Громадська організація « Against Stones ». Other language versions serve international communication and the digital platform.
2. Purpose, scope and activities
2.1. The association aims to promote cultural, educational, creative and humanitarian development, including by:
- supporting the Against Stones living museum platform and digital member community;
- organising creative, educational and therapeutic workshops, meetings and cultural events;
- developing an affinity network among participants based on consent, mutual respect and artwork exchange;
- promoting resilience, solidarity and cultural dialogue, especially in the Ukrainian context;
- ensuring financial and organisational transparency (public reports on donations and project needs).
2.2. The association does not conduct entrepreneurial activity. Limited economic operations are permitted if they directly serve non-profit goals and comply with law.
2.3. Territory: Ukraine and international cooperation within statutory goals. The digital platform may be accessed beyond Ukraine per project rules and applicable law.
2.4. No profit is distributed among members.
3. Membership
3.1. Members are capable individuals who accept this Charter, apply and are admitted under procedures approved by the executive body.
3.2. Basic eligibility (adjustable by the general meeting): at least one creative work approved by platform moderation, or another ground set by the executive body (donation, invitation, special circumstances).
3.3. Admission: application via the platform, membership fee within min/max set by the executive body (UAH), consent to membership registry data processing.
4. Member rights and duties
4.1. Members have the right to:
- attend and vote at general meetings;
- elect and be elected to governing and supervisory bodies;
- receive information about the association's activities;
- propose agenda items;
- use platform features under project rules and association decisions.
4.2. Members shall:
- comply with this Charter and decisions of governing bodies;
- pay membership fees when applicable;
- safeguard association property and project reputation;
- keep contact details in the membership registry up to date.
4.3. Membership ends upon: voluntary withdrawal; expulsion for repeated breach (executive body decision, appeal to general meeting); death; liquidation.
4.4. Fees paid before withdrawal are generally non-refundable unless the general meeting decides otherwise.
5. Governing bodies
5.1. Supreme body: General Meeting of members.
5.2. Executive body: Board (правління), elected for [●] years.
5.3. Supervisory body: Revision Commission, elected for [●] years (mandatory under Ukrainian law).
5.4. The General Meeting approves the Charter, elects/removes Board and Commission members, sets policy, approves reports, decides reorganisation or liquidation.
5.5. The Board manages day-to-day affairs, represents the association, prepares meetings, admits members, maintains the registry and implements decisions.
5.6. The Revision Commission oversees financial management and reports on the Board's accounts.
6. Decision-making
6.1. General Meeting is quorate if more than 50% of members (or duly delegated representatives) are present.
6.2. Decisions by simple majority of those present unless law or Charter requires a qualified majority.
6.3. Charter amendments, reorganisation or liquidation: at least two-thirds of member votes (Ukrainian law).
6.4. Remote voting via the digital platform is permitted if member identification and minutes comply with law and approved bylaws.
6.5. Board decisions by simple majority with at least half of Board members present.
7. Property and funds
7.1. Sources: membership fees; donations; grants; non-profit event income; other lawful receipts.
7.2. Property used solely for statutory goals; no profit distribution to members.
7.3. Accounting under Ukrainian law and internal policies (transparency module).
7.4. Material transactions require prior Board or General Meeting approval depending on amount and risk.
8. Amendments
8.1. Amendments adopted by the General Meeting under Ukrainian law.
8.2. Changes to purpose or scope require state registration.
8.3. Official Ukrainian text on the website; fr/en/ru translations are informational unless the General Meeting decides otherwise.
9. Termination
9.1. Liquidation or reorganisation by General Meeting decision and Ukrainian law.
9.2. Liquidation commission settles creditors; remaining assets applied to non-profit purposes per law (possible transfer to a similar organisation).
10. Transparency and reporting
10.1. Openness of activities within legal limits (Transparency section on the platform).
10.2. Annual activity and financial reports where required, shared with members and authorities.
10.3. Membership registry maintained by the Board; personal data processed under Ukrainian data protection law and the privacy policy.
11. Final provisions
11.1. Effective upon state registration unless founding meeting decides otherwise.
11.2. Matters not covered: governed by Ukrainian law.
